If you are a doctor or dentist looking to start your own practice in Bulgaria, registering your business as a Sole-Owned Limited Liability Company (EOOD) is the best legal structure you can choose. This option limits your personal liability to the capital of the company while providing greater flexibility in managing your practice.
In the past, many medical and dental practices were registered as Sole Proprietors (ET) due to the simpler and faster registration process. However, this legal form requires personal liability with all personal assets. After changes in the Law on Medical Institutions, it became possible to register as an EOOD or OOD, limiting liability to the company’s capital. The minimum required capital for registering an EOOD in Bulgaria is only 2 BGN.
Specific requirements for registration
- According to Article 36, paragraph 4 of the Law on Medical Institutions, the company name must include the full designation of the respective type of medical institution. For example, a dental practice must be named “Ambulatory for Individual Practice for Primary Medical Care in Dental Medicine (AIPPMDM).”
- The company’s scope of activity must be strictly limited to outpatient medical care, excluding other commercial activities.
- When submitting documents for EOOD registration, you must also provide a copy of your medical diploma to verify your qualifications.
Once your EOOD is registered in the Commercial Register, you must submit an application for registration of the medical institution at the Regional Health Inspectorate (RZI), along with the necessary documents, including: company Identification Number (EIK) from the Commercial Register, Internal regulations of the medical institution, medical diploma and proof of a recognized medical specialty, proof of paid state fee. Also if you intend to work with the National Health Insurance Fund (NHIF), you will need to sign a contract with them.
